B2B Terms
These terms describe the baseline commercial framework for freelance product development, software engineering, and consulting work offered by Wolfgang Ihloff. They are intended for business customers and professional counterparties only.
Applicability
This website is not an online shop and does not offer consumer ordering. Engagements are agreed individually for business purposes. These public terms are a baseline and may be supplemented by project-specific documents.
Offer, order, and statement of work
The concrete scope of work, deliverables, timing, commercial terms, and any special project conditions are set out in the relevant offer, order, confirmation, or statement of work. Those project documents define the practical engagement.
Independent project delivery
Services are delivered as independent freelance project work. Objectives, outputs, and timelines are agreed per engagement. No employment relationship, integration into the client's organisation, or exclusivity is intended, except for the coordination reasonably required to execute the project.
Customer cooperation
The customer is expected to provide timely access, contacts, technical information, decisions, and feedback needed for the work. Delays in required cooperation can shift agreed timelines or delivery sequencing.
Fees and payment
Fees are stated in the applicable offer or project documents. Invoices are issued from Spain with the applicable VAT, IGIC, or reverse-charge treatment shown as required for the specific engagement. Unless otherwise agreed, invoices are payable within 14 days.
Expenses and third-party costs
Travel expenses, infrastructure charges, or third-party costs are billed only where agreed in advance, required for the project, or clearly included in the commercial proposal.
Intellectual property and reuse
Unless otherwise agreed, the customer receives the agreed rights to project-specific deliverables upon full payment. Pre-existing know-how, generic methods, reusable components, open-source software, and third-party materials remain subject to the original rights holder and applicable licence terms.
Confidentiality and data protection
Business information exchanged during the engagement is treated confidentially. Where needed, separate NDA and DPA documents can be put in place. If a project requires the processing of personal data on behalf of a customer, a dedicated data processing agreement may be required before work starts.
Priority of project documents
For enterprise engagements, procurement or legal requirements can be reflected in the specific project paperwork. If a signed project document differs from this page, the project document takes precedence for that engagement.
